Acceptable use
You must not use this website in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of SkillMint or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
You must not use this website to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.
You must not conduct any systematic or automated data collection activities on or in relation to this website without SkillMint's express written consent.
You must not use this website or any part of it to transmit or send unsolicited commercial communications.
When you use our platform, we require that you follow teacher guidelines and student quidelines.
We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.
Restricted access and Membership
Access to certain areas of this website is restricted. SkillMint reserves the right to restrict access to certain areas of this website, or at our discretion, this entire website. SkillMint may change or modify this policy without notice.
If SkillMint provides you with a user ID and password to enable you to access restricted areas of this website or other content or services, you must ensure that the user ID and password are kept confidential. You alone are responsible for your password and user ID security.
SkillMint may disable your user ID and password at SkillMint's sole discretion without notice or explanation.
In order to access some features and services, including the ability to book or manage lessons as well as offer private lessons through SkillMint, you must become a registered member. To become a member, you agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete throughout your use of this website. You must be at least 18 years old to be a service provider member, i.e. a member who offers private lessons through SkillMint.
Payments, billing and pricing
All bookings with SkillMint members as well as payments and billing must go through SkillMint. Failure to abide by this policy may result in deactivation of your account.
Payment processing services for all members on SkillMint are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a member on SkillMint, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of SkillMint enabling payment processing services through Stripe, you agree to provide SkillMint accurate and complete information about you and your business, and you authorize SkillMint to share it and transaction information related to your use of the payment processing services provided by Stripe.
Use of some of the features on our platform is free, and we charge fees ("commission") for other features. We may in the future implement a new fee, or modify an existing fee, for certain current or future features of our Platform. If we implement a new or modified fee, we will give you advanced notice such as by posting changes on our Platform or sending you an email. You agree to pay those fees and any associated taxes for your continued use of the applicable service. Unless otherwise stated, all fees and all transactions are in U.S. dollars. All fees are exclusive of applicable federal, state, local, or other taxes.
Member rates may be adjusted at any time and for any reason (or no reason) and without providing you prior notice. All members are obligated to honor the prices established at the time of payment.
We offer a 100% refund for any unused lessons. Once the lesson has been marked missed or completed by the teacher, this lesson is considered used and is no longer refundable.
User content
In these terms and conditions, "your user content" means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to this website, for whatever purpose.
You grant to SkillMint a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media. You also grant to SkillMint the right to sub-license these rights, and the right to bring an action for infringement of these rights.
Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or SkillMint or a third party (in each case under any applicable law).
You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.
SkillMint reserves the right to edit or remove any material submitted to this website, or stored on the servers of SkillMint, or hosted or published upon this website.
No warranties
This website is provided "as is" without any representations or warranties, express or implied. SkillMint makes no representations or warranties in relation to this website or the information and materials provided on this website.
Without prejudice to the generality of the foregoing paragraph, SkillMint does not warrant that this website will be constantly available, or available at all; or the information on this website is complete, true, accurate or non-misleading.

SkillMint is not a party to any offline arrangements made through our platform. SkillMint does not require background checks on members, and does not attempt to verify the truth or accuracy of statements made by members. SkillMint makes no representations or warranties concerning the conduct or content of any members or their interactions with you. SkillMint does not endorse or control the members, the manner or method of service to you, exercise no control over your working relationship with the members and do not warrant your safety or the service of any member. We urge all members of our Services to be responsible and careful about their use of our Services, any transaction entered into as a result of our Services and interactions with other members. Our Services are separate and distinct from the services of any members. You acknowledge that members of website are not employees or agents of SkillMint. You understand and agree that SkillMint has no control over the acts or omission of any member on or off the website and that SkillMint makes no representations or warranties about the quality of the services provided by any member. SkillMint hereby expressly disclaims, and you hereby expressly release Skillmint from, any and all liability whatsoever for any controversies, claims, suits, injuries, loss, harm or damages arising from or related to disputes, dealings, or interactions between you and any other website members or third parties.
Other parties
You accept that, as a limited liability entity, SkillMint has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against SkillMint's officers or employees in respect of any losses you suffer in connection with the website.
Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this website disclaimer will protect SkillMint's officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as SkillMint.

Indemnity
You hereby indemnify SkillMint and undertake to keep SkillMint indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by SkillMint to a third party in settlement of a claim or dispute on the advice of SkillMint's legal advisers) incurred or suffered by SkillMint arising out of any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions.
Breaches of these terms and conditions
Without prejudice to SkillMint's other rights under these terms and conditions, if you breach these terms and conditions in any way, SkillMint may take such action as SkillMint deems appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.
Assignment
SkillMint may transfer, sub-contract or otherwise deal with SkillMint's rights and/or obligations under these terms and conditions without notifying you or obtaining your consent. You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions.
Severability

These terms and conditions will be governed by and construed in accordance with the laws of California, USA, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of California, USA.
